IMPORTANT: 3AM SHEEP LLC is a play-for-fun social gaming and promotional sweepstakes platform. The Platform does not offer real-money gambling or the opportunity to win money based on gambling. No purchase is necessary to play or participate in sweepstakes promotions. A purchase will not increase your chances of winning. Void where prohibited by law.

1. Agreement to Terms

These Terms of Service, together with our Sweepstakes Rules, Privacy Policy, Responsible Gaming Policy, and any additional rules posted on the Platform, form a legally binding agreement between you and 3AM SHEEP LLC (“3AM SHEEP,” “Company,” “we,” “us,” or “our”). By accessing, registering for, using, or participating in any feature of the website, games, promotional sweepstakes, virtual currency system, redemption process, community features, or related services located at 3amsheep.com and associated domains or applications (collectively, the “Platform”), you agree to be bound by these Terms.

If you do not agree to these Terms, do not access or use the Platform. Your continued use of the Platform means you accept the Terms then in effect.

3. Eligibility

You may only create an account or use the Platform if you:

(a) are at least twenty-one (21) years of age;
(b) are a legal resident physically located in a jurisdiction where the Platform and promotional sweepstakes are permitted by law;
(c) are not located in a prohibited or restricted jurisdiction listed in our Sweepstakes Rules or otherwise blocked by us;
(d) have legal capacity to enter into a binding agreement;
(e) are using the Platform for personal entertainment purposes only; and
(f) are not excluded, suspended, banned, self-excluded, or otherwise prohibited from using the Platform.

We reserve the right to verify your identity, age, location, and eligibility at any time. We may refuse registration, suspend access, void entries, freeze balances, or deny redemption requests if we determine or reasonably suspect that you are ineligible, located in a prohibited jurisdiction, using false information, or violating these Terms.

4. No Real-Money Gambling

The Platform is a social casino-style entertainment platform and promotional sweepstakes platform. The Platform does not offer real-money gambling, casino gambling, sports wagering, internet gambling, or any opportunity to win real money based on gambling.

Gameplay using Gold Coins is strictly for entertainment and has no monetary value. Promotional Sweep Coins may be used only in accordance with the Sweepstakes Rules and may be eligible for prize redemption only if all requirements are satisfied. Participation in any promotion is void where prohibited by law.

5. No Purchase Necessary

NO PURCHASE NECESSARY TO ENTER OR WIN. A PURCHASE WILL NOT INCREASE YOUR CHANCES OF WINNING.

You may obtain Sweep Coins without making a purchase through the free alternative methods described in the Sweepstakes Rules, including free promotional bonuses, daily bonuses, mail-in requests, or other free methods made available by 3AM SHEEP LLC. Any purchase of Gold Coins is optional, is for entertainment gameplay only, and is not required to participate in promotional sweepstakes.

6. Account Registration

You may only maintain one account. You agree to provide accurate, current, and complete information and to promptly update it if it changes. You may not create an account for another person, transfer your account, sell your account, or use another user’s account.

You are responsible for maintaining the confidentiality of your login credentials and for all activity occurring under your account. You must notify us immediately if you suspect unauthorized access, account compromise, or fraudulent activity.

7. Identity Verification, KYC, and Compliance Checks

We may require identity verification before allowing certain account activity, including redemptions. Verification may include your legal name, date of birth, residential address, email address, phone number, government-issued identification, tax forms, proof of address, payment method verification, geolocation checks, sanctions screening, fraud screening, and other information reasonably required for legal, compliance, anti-fraud, tax, and responsible gaming purposes.

Failure or refusal to complete verification may result in suspension, cancellation of redemption requests, forfeiture of promotional balances, or closure of your account where permitted by law.

8. Gold Coins

Gold Coins (“GC”) are virtual tokens used only for entertainment gameplay. Gold Coins have no cash value, no monetary value, no property value, and cannot be redeemed, withdrawn, sold, transferred, exchanged, or converted into cash, prizes, Sweep Coins, gift cards, or anything of value.

Any purchase of Gold Coins is a purchase of a limited, revocable, non-transferable license to use virtual entertainment credits on the Platform. All Gold Coin sales are final except where required by law or expressly stated by us in writing.

9. Sweep Coins

Sweep Coins (“SC”) are promotional sweepstakes entries issued by 3AM SHEEP LLC. Sweep Coins are not sold, are not purchased, and are not legal tender. Sweep Coins may be obtained for free through promotional methods described in the Sweepstakes Rules.

Sweep Coins may be used to participate in eligible promotional sweepstakes games. Subject to the Sweepstakes Rules, eligibility, successful verification, minimum redemption thresholds, fraud checks, and applicable law, accumulated eligible Sweep Coins may be redeemable for prizes. Sweep Coins are non-transferable and may not be sold, assigned, traded, gifted, brokered, bartered, or exchanged between users.

10. Prize Redemptions

Redemption requests are subject to our Sweepstakes Rules, verification requirements, fraud review, minimum and maximum redemption limits, payment processor availability, chargeback review, tax reporting requirements, and applicable law.

We may delay, deny, cancel, or reverse redemption requests if we reasonably suspect fraud, bonus abuse, multiple accounts, VPN or geolocation manipulation, prohibited jurisdiction access, identity mismatch, payment irregularities, violation of these Terms, violation of the Sweepstakes Rules, or other unlawful or abusive conduct.

You are solely responsible for taxes, reporting obligations, and any fees imposed by your financial institution or payment provider.

11. Prohibited Conduct

You agree not to:

(a) use the Platform from a prohibited jurisdiction;
(b) create or control multiple accounts;
(c) use false identity information or identity documents;
(d) use bots, scripts, automation, emulators, exploits, data mining, scraping, or unauthorized software;
(e) manipulate gameplay, promotions, bonus codes, referral programs, or redemption systems;
(f) engage in collusion, chip dumping, arbitrage, chargeback fraud, payment fraud, or bonus abuse;
(g) use VPNs, proxies, remote desktop tools, location spoofing, or similar tools to disguise your location;
(h) harass, threaten, abuse, defame, or harm other users or staff;
(i) infringe intellectual property rights;
(j) interfere with Platform security or operations; or
(k) use the Platform for unlawful, commercial, fraudulent, or unauthorized purposes.

12. Account Suspension, Closure, and Forfeiture

We may suspend, restrict, terminate, or close your account at any time if we determine or reasonably suspect that you violated these Terms, violated the Sweepstakes Rules, engaged in prohibited conduct, failed verification, used the Platform unlawfully, created risk for the Platform, or threatened the integrity of our promotions.

Where permitted by law, any Gold Coins, Sweep Coins, bonuses, promotional entries, pending redemptions, or other account benefits may be voided, forfeited, or cancelled if associated with fraud, abuse, unauthorized access, ineligibility, or prohibited conduct.

13. Payments, Chargebacks, and Refunds

Purchases of Gold Coins, if offered, are optional entertainment purchases. Gold Coins are not gambling chips, financial instruments, stored value, or money.

All purchases are final unless otherwise required by law or expressly approved by us. Unauthorized chargebacks, payment reversals, disputed transactions, or suspected payment fraud may result in account suspension, cancellation of balances, reversal of bonuses, denial of redemptions, and collection efforts where permitted by law.

14. Backroom Workshops and Educational Subscriptions

3AM SHEEP LLC may offer subscription-based educational workshops, templates, training materials, demonstrations, videos, downloads, community access, and related content through “The Backroom” or similar services. Backroom subscriptions are separate from Platform gameplay and are educational in nature.

Backroom content may discuss sweepstakes compliance concepts, dual-currency systems, software tools, administrative dashboards, AI tools, design tools, and development processes. Such content is provided for educational purposes only and does not constitute legal, financial, tax, compliance, or business advice. You are responsible for obtaining professional legal and regulatory advice before launching any sweepstakes, gaming, promotional, financial, or payment-related business.

Backroom materials, templates, downloads, videos, and training resources are owned by 3AM SHEEP LLC or its licensors and may not be copied, resold, redistributed, sublicensed, uploaded, shared publicly, or used to create competing training products without written permission.

15. Intellectual Property

The Platform, games, graphics, characters, names, logos, software, code, text, images, designs, sounds, animations, user interface elements, features, databases, templates, workshop materials, and other content are owned by 3AM SHEEP LLC or its licensors and are protected by copyright, trademark, trade secret, and other intellectual property laws.

You receive only a limited, revocable, non-exclusive, non-transferable license to access and use the Platform for personal entertainment purposes in accordance with these Terms.

16. User Content and Community Conduct

If you submit comments, feedback, messages, reviews, suggestions, ideas, images, posts, or other content, you grant 3AM SHEEP LLC a worldwide, royalty-free, sublicensable, transferable license to use, reproduce, modify, display, publish, distribute, and create derivative works from such content in connection with the Platform and our business.

You may not post unlawful, harmful, abusive, hateful, defamatory, infringing, obscene, fraudulent, misleading, or spam content. We may remove content or restrict community access at any time.

17. Service Availability and Errors

The Platform may be unavailable, delayed, interrupted, or contain errors. We do not guarantee uninterrupted or error-free service. We may modify, suspend, discontinue, reset, or restrict access to any feature, game, promotion, currency balance, or service at any time where reasonably necessary for security, compliance, technical, operational, or business reasons.

If a game, promotion, balance, result, payout, prize, or redemption is affected by an error, malfunction, misconfiguration, exploit, bug, unauthorized access, or technical failure, we may void, correct, reverse, or adjust affected transactions or results to preserve fairness and integrity.

18. Disclaimer of Warranties

TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE PLATFORM, GAMES, VIRTUAL CURRENCIES, PROMOTIONS, WORKSHOPS, CONTENT, AND SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE,” WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, ACCURACY, AVAILABILITY, SECURITY, OR ERROR-FREE OPERATION.

19. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, 3AM SHEEP LLC AND ITS OWNERS, OFFICERS, DIRECTORS, EMPLOYEES, CONTRACTORS, SERVICE PROVIDERS, AFFILIATES, SUCCESSORS, AND ASSIGNS SHALL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, INCLUDING LOST PROFITS, LOST DATA, LOST GOODWILL, SERVICE INTERRUPTION, COMPUTER DAMAGE, OR LOST OPPORTUNITY, ARISING FROM OR RELATED TO YOUR USE OF THE PLATFORM.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, OUR TOTAL LIABILITY TO YOU FOR ALL CLAIMS SHALL NOT EXCEED THE GREATER OF: (A) THE AMOUNT YOU PAID TO 3AM SHEEP LLC FOR GOLD COIN PURCHASES IN THE SIX (6) MONTHS BEFORE THE CLAIM AROSE; OR (B) ONE HUNDRED U.S. DOLLARS (\$100).

20. Indemnification

You agree to defend, indemnify, and hold harmless 3AM SHEEP LLC and its owners, officers, directors, employees, contractors, service providers, affiliates, successors, and assigns from and against all claims, damages, losses, liabilities, costs, and expenses, including reasonable attorneys’ fees, arising from or related to your use of the Platform, violation of these Terms, violation of the Sweepstakes Rules, violation of law, violation of another party’s rights, fraud, misuse of your account, or user content submitted by you.

21. Governing Law

These Terms, the Platform, and any dispute between you and 3AM SHEEP LLC shall be governed by the laws of the State of Alabama, without regard to conflict-of-law rules, and by applicable federal law, including the Federal Arbitration Act where applicable.

22. Binding Arbitration and Class Action Waiver

PLEASE READ THIS SECTION CAREFULLY. IT AFFECTS YOUR LEGAL RIGHTS.

Any dispute, claim, or controversy arising out of or relating to these Terms, the Platform, your account, Gold Coins, Sweep Coins, promotions, redemptions, purchases, privacy, communications, or any relationship between you and 3AM SHEEP LLC shall be resolved exclusively through final and binding arbitration, except that either party may bring an individual claim in small claims court if eligible.

Arbitration shall be administered by the American Arbitration Association (“AAA”) under its Consumer Arbitration Rules then in effect, except as modified by this section. The arbitration shall take place in Montgomery County, Alabama, unless the parties agree to remote proceedings or the arbitrator determines another format is required by applicable law. The arbitrator shall have exclusive authority to resolve disputes concerning arbitrability, enforceability, interpretation, and scope of this arbitration agreement.

Class Action Waiver: You and 3AM SHEEP LLC agree that all claims must be brought only in an individual capacity and not as a plaintiff, claimant, class member, or representative in any class, collective, consolidated, private attorney general, or representative action.

Jury Trial Waiver: You and 3AM SHEEP LLC knowingly and voluntarily waive any right to a trial by jury for any dispute covered by this arbitration agreement.

23. Changes to Terms

We may update these Terms from time to time. Updated Terms will be posted on the Platform with a revised “Last Updated” date. Where required by law or where changes are material, we may provide additional notice. Your continued use of the Platform after updated Terms become effective constitutes acceptance of the updated Terms.
