1. ACCEPTANCE OF TERMS

These Terms constitute a legally binding agreement between you and 3AmSheep.com. Your use of the Platform, including registration, browsing, participating in sweepstakes, affiliate programs, vendor/agent/tester activities, or any other interaction, signifies your acceptance of these Terms.

2. ELIGIBILITY & ACCOUNT SECURITY

Age Requirement: You must be 18 years or older (or legal age of majority in your jurisdiction).

Jurisdiction Compliance: You are responsible for ensuring participation is legal in your location. 3AmSheep is not liable for violations of local laws.

Account Responsibility: You are solely responsible for all activities under your account. Do not share login credentials. Notify us immediately of unauthorized access.

Accurate Information: You must provide truthful, current information. False information may result in account termination.

3. PLATFORM SERVICES

3AmSheep provides:

• Sweepstakes & Promotional Games: Entertainment-only games with no purchase necessary. Virtual currency has no real-world value and is non-transferable.
• Affiliate/Agent Programs: Opportunities to earn commissions or rewards. Subject to approval and compliance with program rules.
• Vendor/Tester Tools: Access for approved users to submit products, manage campaigns, or participate in testing programs.
• Community Features: Forums, chat, messaging, and user-generated content.

4. PROHIBITED ACTIVITIES

You agree NOT to:

• Use bots, scripts, automation tools, or any unauthorized third-party software
• Create multiple accounts or engage in fraudulent activity
• Manipulate, exploit, or abuse platform features, bugs, or vulnerabilities
• Harass, threaten, impersonate, or defame other users or the Platform
• Post illegal, offensive, hateful, or harmful content
• Attempt to gain unauthorized access to systems, accounts, or data
• Reverse-engineer, decompile, or extract source code
• Use the Platform for any illegal purpose or in violation of local, state, federal, or international law

Consequences: Violations result in immediate account suspension/termination, forfeiture of rewards, and potential legal action.

5. INTELLECTUAL PROPERTY PROTECTION

Ownership: All content, trademarks, logos, graphics, software, text, data, designs, and Platform mechanics are the exclusive property of 3AmSheep or its licensors.

Restrictions: You may NOT copy, reproduce, distribute, modify, create derivative works, publicly display, sell, or commercially exploit any Platform content without express written permission.

Brand Protection: The "3AmSheep" name, logo, and associated marks are protected trademarks. Unauthorized use is prohibited and subject to legal action.

User Content: By posting content, you grant 3AmSheep a perpetual, worldwide, royalty-free license to use, modify, display, and distribute your content. You retain ownership but grant us usage rights.

6. LIMITATION OF LIABILITY & DISCLAIMERS

AS-IS Service: The Platform is provided "AS IS" and "AS AVAILABLE" without warranties of any kind, express or implied.

No Guarantees: We do not guarantee uninterrupted access, error-free operation, data accuracy, prize availability, or fitness for any particular purpose.

Liability Cap: To the maximum extent permitted by law, 3AmSheep shall NOT be liable for:

• Indirect, incidental, special, consequential, or punitive damages
• Loss of profits, data, revenue, or business opportunities
• Damages arising from use or inability to use the Platform
• Third-party actions, content, or services

Maximum Liability: Our total liability for any claim shall not exceed the amount you paid to 3AmSheep in the past 12 months, or $100 USD, whichever is less.

7. INDEMNIFICATION

You agree to defend, indemnify, and hold harmless 3AmSheep, its affiliates, officers, directors, employees, agents, and partners from any claims, damages, losses, liabilities, costs, or expenses (including legal fees) arising from:

• Your violation of these Terms
• Your use or misuse of the Platform
• Your violation of any third-party rights
• Your violation of applicable laws or regulations
• Content you post or submit

8. PURCHASES, REFUNDS & CHARGEBACKS

Final Sales: All purchases of virtual currency, items, or services are FINAL and NON-REFUNDABLE unless required by law.

No Real-World Value: Virtual currency, points, and items have no monetary value, cannot be exchanged for cash, and cannot be transferred outside the Platform.

Chargeback Policy: Fraudulent chargebacks or payment disputes after receiving goods/services will result in account termination and may lead to legal action and debt collection.

9. AFFILIATE, VENDOR & AGENT PROGRAMS

Approval Required: Participation requires application and approval. We reserve the right to deny, revoke, or modify access at any time.

Commission Changes: We may modify commission structures, payment terms, or program rules with notice.

Prohibited Practices: Misleading advertising, brand impersonation, spam, incentivizing unauthorized sign-ups, or targeting minors will result in withheld payments and account closure.

Tax Responsibility: Affiliates/vendors are responsible for reporting and paying applicable taxes on earnings.

10. TERMINATION & SUSPENSION

We reserve the right to suspend or terminate accounts at our sole discretion for:

• Violation of these Terms
• Fraudulent or illegal activity
• Abuse of Platform features or systems
• Providing false information
• Any conduct we deem harmful to the Platform or community

Effect of Termination: Upon termination, you lose access to your account, virtual currency, rewards, and data. No refunds will be issued.

11. DISPUTE RESOLUTION & ARBITRATION

Binding Arbitration: Any disputes, claims, or controversies shall be resolved through binding individual arbitration, not in court.

Class Action Waiver: You waive the right to participate in class-action lawsuits or class-wide arbitration.

Governing Law: These Terms are governed by applicable laws, without regard to conflict of law principles.

Informal Resolution: Before filing arbitration, parties must attempt good-faith informal resolution for 30 days.

13. MODIFICATIONS TO TERMS

14. SEVERABILITY

If any provision is found unenforceable, the remainder of the Terms remain in full effect.
